These Terms and Conditions ("Terms") govern your use of the websites, services, digital products, trainings, consultations, communications, and resources operated by Your Virtual Assist LLC, doing business as ARC Systems ("ARC Systems," "we," "our," or "us"), including but not limited to:

By accessing our website, purchasing products or services, scheduling consultations, participating in workshops or training programs, downloading digital resources, or otherwise interacting with ARC Systems, you agree to be bound by these Terms.

Services

ARC Systems provides business systems consulting and operational support, including but not limited to:

Business systems strategy and consulting

Airtable system design and implementation

CRM setup and workflow development

Automation consulting (Zapier, Make, and related platforms)

Client journey mapping

Business process documentation

Operational audits and system assessments

Custom templates and workflow libraries

Digital downloads and online resources

Virtual training and workshops

Speaking and educational presentations

Ongoing system support and consulting

All services are subject to availability and may be modified, updated, or discontinued at any time.

Payments and Deposits

Certain services require deposits, retainers, milestone payments, or payment in full prior to delivery.

Unless otherwise stated in a separate written agreement:

Deposits and retainers are non-refundable.

Digital products are non-refundable once delivered or accessed.

Final balances must be paid according to the invoice or proposal.

Failure to make timely payment may delay or suspend services.

Projects may be paused until outstanding balances are paid.

ARC Systems reserves the right to refuse or discontinue services for non-payment.

Cancellations and Rescheduling

Consulting sessions, implementation services, and training may be rescheduled with at least 24 hours' notice.

Missed appointments or cancellations made with less than 24 hours' notice may be considered forfeited and are not guaranteed to be rescheduled.

Custom implementation projects, speaking engagements, and workshops are governed by the terms outlined in the signed proposal or service agreement.

We reserve the right to reschedule services due to illness, emergencies, technical issues, or circumstances beyond our reasonable control.

Digital products include but are not limited to:

SOPs

Checklists

Guides

Downloadable resources

Online courses

Because digital products are delivered electronically, all sales are final unless otherwise required by law.

Purchasing a digital product grants you a limited, non-transferable license for your own business use. You may not redistribute, resell, share, sublicense, copy, or commercially exploit any digital product without prior written permission.

Intellectual Property

All materials created or provided by ARC Systems—including but not limited to:

Templates

Databases

Airtable systems

Workflows

Automations

Documentation

Proposals

Presentations

Videos

Graphics

Written content

Branding

Educational materials

Downloads

Website content

remain the exclusive intellectual property of Your Virtual Assist LLC unless otherwise stated in writing.

No materials may be copied, modified, reproduced, distributed, resold, or used for commercial purposes without prior written permission.

Client Responsibilities

Clients agree to:

Provide timely access to necessary software accounts.

Respond promptly to requests for information.

Review deliverables within a reasonable timeframe.

Maintain their own software subscriptions unless otherwise agreed.

Back up important business data.

Project timelines may be extended if required information or approvals are delayed.

Software and Third-Party Platforms

Other approved integrations

We are independent consultants and are not responsible for outages, pricing changes, feature updates, data loss, or service interruptions caused by third-party providers.

Results Disclaimer

ARC Systems provides consulting, implementation, education, and recommendations designed to improve operational efficiency.

However, we do not guarantee:

increased revenue

increased leads

business growth

specific financial outcomes

software compatibility beyond documented capabilities

uninterrupted automation performance

Business success depends on numerous factors outside our control, including client implementation, staffing, marketing, sales, and operational decisions.

Speaking, Workshops, and Training

Educational sessions, webinars, workshops, and speaking engagements are provided for informational purposes.

Participants are responsible for implementing any recommendations shared during presentations.

Corporate clients are responsible for providing suitable facilities, internet access (when applicable), participant information, and any required accommodations.

Limitation of Liability

To the fullest extent permitted by law, Your Virtual Assist LLC shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from:

use of our website

consulting services

system implementations

digital products

automation failures

software outages

project delays

communication failures

third-party platforms

business interruptions

Our total liability shall not exceed the amount paid directly to ARC Systems for the applicable service.

Confidentiality

We understand that clients may share confidential business information during consulting engagements.

ARC Systems agrees to maintain the confidentiality of proprietary information except:

as required by law;

with written client permission; or

where information becomes publicly available through no fault of ARC Systems.

Clients are responsible for maintaining the confidentiality of any proprietary systems, templates, or documentation provided by ARC Systems.

SMS and Electronic Communications

By submitting your phone number or email address through our website, forms, consultations, bookings, purchases, or communications, you consent to receive communications from ARC Systems regarding:

inquiries

appointments

project updates

invoices

customer support

educational resources

webinars

workshops

occasional marketing communications

Message frequency varies. Standard message and data rates may apply.

You may opt out of SMS communications at any time by replying STOP.

Marketing emails may be unsubscribed from using the link provided in each email.

Website Use

You agree not to:

We reserve the right to suspend or terminate access for misuse.
